Terms and Conditions for Illuminati Web Solutions

By engaging Illuminati Web Solutions (referred to as "Service Provider," "we," "us," or "our") for services, you (referred to as "Client," "you," or "your") agree to the following terms and conditions. These terms apply to all services provided by the Service Provider, including but not limited to Web Design, SEO, PPC Campaigns, Graphic Services, Social Media Marketing, Video Production, and other related services.

1. Authorization

By engaging our services, you authorize us as an independent contractor to perform the services outlined in the purchase agreement or invoice. You also authorize access to any necessary accounts and grant us the permissions required to perform our services, including using third-party services to access relevant media, technical information, and content.

2. Links

You confirm that all links provided to us for your website or services have been approved and verified. The Service Provider holds no responsibility for any legal claims arising from unapproved or unauthorized links.

3. Graphics, Audio, and Video Media

You agree to provide all media necessary for completing your project, such as graphics, video, and audio. If additional media is required, you are responsible for any associated costs.

3.1. Photography and Video Shooting: Clients in the U.S. and Canada may request on-site photography or video production. You agree to cover any associated travel, food, and accommodation costs for our team.

3.2. Third-Party Stock Photography, Audio, and Video: Any third-party media used must be properly licensed by you. You assume full responsibility for legal compliance and agree to hold us harmless from any legal claims resulting from their use.

4. Text and Files

Text and files must be provided in accessible formats (e.g., Microsoft Word, .jpg, .pdf). Additional charges may apply if alternative submission methods are required.

5. Additional Requests

If additional services or materials outside of the agreed scope are required, we will bill you at a standard rate of $60 per hour, subject to negotiation based on the scope of work.

6. Payment Terms and Workflow

Full payment is required upfront unless otherwise stated. If the total cost exceeds $1000, a 50% deposit is required before development begins, with the remaining balance due upon project completion. We accept payments via PayPal, bank transfer, and other methods. Failure to make payments within 30 days may result in the removal of your content from the internet and transfer to a collection agency.

7. Monthly Subscription Payments

Monthly services must be paid in advance. If payment is delayed by more than five days, services may be paused or terminated. Late payments may result in additional collection procedures.

8. Client Amendments

We welcome feedback during the design process. However, significant changes beyond the original scope (e.g., redesigning logos, replacing large amounts of content, etc.) will incur additional charges.

9. Copyrights and Trademarks

You guarantee that all content provided (text, graphics, audio, video, etc.) is either owned by you or that you have obtained proper permissions. You agree to indemnify and hold us harmless from any legal claims resulting from the use of these materials.

10. Third-Party Modifications

If you or a third party modifies the services provided by us and damages functionality, you will be charged $120 per hour for repairs.

11. Assignment of Development

We reserve the right to assign subcontractors to ensure timely and quality service delivery. All subcontractor work is covered under this agreement.

12. Additional Expenses

You agree to reimburse us for any additional costs incurred due to your requests, such as purchasing specific fonts, photography, software, or plugins.

13. Age Requirement

You confirm that the authorized representative of your company is at least 19 years old and capable of entering into this agreement.

14. Professional Conduct

You agree to maintain a professional relationship with our team. Harassment, false accusations, or abusive behavior will not be tolerated and may result in termination of services without refund.

15. Limited Liability

You agree that all content provided for your project is free from any abusive or unethical material (e.g., illegal activities, pornography, viruses). You also agree to indemnify us from any claims arising from the use of your content. We are not liable for any consequential damages or loss of service.

16. Indemnification

You agree to indemnify and hold us harmless from any claims or liabilities arising from our services, including any issues related to copyright infringement or defective products.

17. Ownership

All completed work, including designs, photos, and content, becomes your property upon final payment. Until payment is made, all materials remain our property. Unauthorized use of these materials before payment is considered a breach of this agreement.

18. Design Credit and Reviews

We reserve the right to include a byline crediting us as the designer on your website. We may also showcase the project in our portfolio. You agree to provide a review or testimonial upon completion.

19. Nondisclosure

Both parties agree to protect any confidential information obtained during the course of this agreement. Neither party will disclose confidential information to third parties without prior consent.

20. Cancellation

You may cancel the agreement within 7 days of purchase. After 7 days, a cancellation fee of 50% of the total amount will apply. Further payment may be required to cover costs incurred if development work has already begun.

21. Entire Agreement

This agreement constitutes the entire understanding between you and us. Any revisions, amendments, or changes will be posted and will apply to future services rendered.

22. Revisions to Terms

We reserve the right to revise, amend, or modify these terms at any time. Notice of changes will be posted on our website.

Understand Our Policy

WEB DESIGN TERMS

Website, Web Design, Web Development / Plans / Packs / Packages – Terms & Conditions: For Clients purchasing Website Design Services as outlined in the respective Web Design Plans:

23.1 Domain Registration:
At the Client's request, the Service Provider may secure a domain name (e.g., www.myname.com) on behalf of the Client. All associated costs will be billed to the Client as an additional fee. Should the desired domain already be owned by another party, an alternative domain must be registered. If the Client already possesses a domain, the Service Provider may assist with redirecting it to the new hosting server.

23.2 Standard Hosting Services:
The Service Provider may, at the Client's request, order a hosting account on the Client's behalf, or the Client may do so independently. Should the Client prefer to have the Service Provider manage this process, the Client agrees to cover all necessary hosting fees. Clients inexperienced with web hosting are encouraged to utilize the Service Provider’s assistance.

23.3 E-mail Assistance:
The Service Provider may offer email setup assistance to Clients whose websites reside on the Service Provider's server. Supported email clients include Microsoft Outlook Express and all versions of Microsoft Outlook. For Clients hosting elsewhere, the Service Provider urges the Client to contact their hosting provider for email assistance.

23.4 Cross-Browser Compatibility:
The website will be compatible with Microsoft Internet Explorer 10 and Google Chrome, meaning that all critical elements will be viewable in both browsers. The Client understands that advanced internet techniques may require more recent browser versions. Redesign work for new browser versions will incur additional costs if requested by the Client.

23.5 Add-Ons:
Add-ons such as CGI, PHP, Flash, DHTML, or e-commerce features may be included based on the Client’s needs. Large-scale developments using add-ons will be priced separately. The Client assumes responsibility for any e-commerce-related issues, including customer complaints or technical failures, unless they subscribe to a technical maintenance plan.

23.6 Search Engine Registration:
Upon final payment and at the Client’s request, the Service Provider will optimize the website for search engines and submit it to free directories.

23.7 Website Design Services:
The Service Provider may use open-source platforms (e.g., WordPress) and third-party applications to build websites. The Client agrees that the Service Provider is not liable for any issues arising from the CMS, hosting, or third-party providers.

23.8 SEO Keywords & Pages:
The Service Provider provides no guarantee or warranty for search engine rankings. Rankings depend on factors such as content relevance, backlinks, and domain age. For ranking guarantees, Clients should consider purchasing Search Engine Optimization services.


MONTHLY WEBSITE MAINTENANCE, SEO TERMS

Monthly Web Updates / Upgrades / Technical Maintenance / WordPress & WooCommerce:
Clients purchasing monthly technical maintenance agree to allow the Service Provider to make necessary website updates and changes. Excess requests beyond the maintenance plan will incur additional fees, and the Service Provider may take 3 to 5 business days to process these requests.

Monthly Maintenance Guarantee:
Monthly maintenance depends on various factors like server performance and plugin compatibility. The Service Provider is not responsible for any maintenance failure due to these factors and will not be held liable for demands or claims arising from such failures.

Subscription Cancellation Policy:
To cancel a monthly subscription, Clients must provide notice at least 30 days in advance. If updates are canceled by the Client, the Service Provider retains 50% of the original payment for time and expenses already incurred. Additional payments may be required if this amount is insufficient.


GOOGLE CONSOLE / WEBMASTER, ANALYTICS, ADWORDS, FACEBOOK ADVERTISING TERMS

Payment to Google AdWords & Facebook Advertising:
Clients purchasing advertising services are responsible for paying Google and Facebook directly for any Pay-Per-Click (PPC) campaigns. The Service Provider will set up and manage these campaigns, but Clients are responsible for funding their ad accounts.

Ad Campaign Design:
Clients must provide the Service Provider with keywords, demographics, and design ideas for ads. Additional costs will be incurred for any design changes post-approval.

Campaign Success Rate:
The Service Provider will make every effort to set up successful ad campaigns. However, the success of PPC ads is subject to many factors, and the Service Provider cannot guarantee results. Clients agree to hold the Service Provider harmless in the event of campaign failure.

Refund Policy:
No refunds will be provided for Google AdWords, Facebook Advertising, or related services. Clients are responsible for ensuring their website complies with Google and Facebook policies, and the Service Provider is not liable for any policy violations or ad disapprovals.

Payment to Google & Facebook:
Premium services from Google or Facebook must be paid directly by the Client. The Service Provider is not responsible for these payments.

Google Analytics Code Installation:
The Service Provider is not responsible for installing Google Analytics code but can provide it to the Client. Installation by the Service Provider will incur additional fees if requested.

Website Improvements Related to Google Console/Webmaster, Analytics:
The Service Provider is not responsible for website improvements or redesigns related to Google Analytics or Webmaster Tools. Such services will be charged separately if requested by the Client. The Client agrees to hold the Service Provider harmless from any claims related to web performance.

Understand Our Policy

SEO WORK TERMS

SEO Definitions, Guarantee, and Refunds:

  1. SEO Definitions: SEO involves optimizing for keywords relevant to the client’s content or services. While efforts are made to rank these keywords on search engines like Google and Bing, there are no guarantees for specific rankings.

  2. SEO Guarantee: Rankings depend on factors like keyword competition, search engine algorithms, and other technical considerations. The aim is to achieve competitive ranking.

  3. SEO Commitment: The contract lasts for six months, auto-renewing monthly unless canceled. Optimization takes time (up to 6 months), and refunds for non-performance can only be assessed after this period.

  4. Local SEO Disclaimer: Ranking on Google Maps, Yahoo Local, or Bing Local is not guaranteed. Optimization is focused on the website itself.

Project Planning, Quoting, and Amendments:

  1. Plan and Quote Validity: Any project plan or quote is valid for 30 days and is based on the information provided. Changes in circumstances may lead to a revised quote.

  2. Amendments After Completion: After submitting a watermarked draft, clients have five working days to request editorial changes. Changes affecting the original brief may incur additional charges.

This document lays out clear expectations, limitations, and responsibilities for both the service provider and the client in terms of SEO services and general website use.
